HTZ Stock News : Hertz Completes $749 Million Stock and Debt Offering and Confirms a $200 Million Private Placement of Stock Closing in June 2009

PARK RIDGE, NJ -- (Marketwire) -- 05/28/09 -- Hertz Global Holdings, Inc. ("Hertz" or the "Company") (NYSE: HTZ) today announced it has raised gross proceeds of $749 million in its previously reported dual equity and convertible senior notes public offerings. In addition, Clayton, Dubilier & Rice, Inc. and The Carlyle Group, both existing Hertz stockholders, have also agreed to purchase $200 million of Hertz common stock in a private placement that is expected to close in June 2009. The $949 million of gross proceeds exceeded the Company's pre-offering target by almost $250 million. The aggregate net proceeds of the offerings and the private placement are estimated to be approximately $923 million, after deducting underwriting discounts and commissions, and before offering expenses payable by Hertz. The Company said the proceeds of the offering and private placement provide cash to support 2010 debt refinancing while maintaining liquidity to fund growth initiatives. Furthermore, using cash to retire debt will reduce the overall cost of fleet debt and lower fleet interest expense which will also benefit Corporate EBITDA.

The public offerings included $299 million in gross proceeds, from the sale of 46 million shares of our common stock and $450 million in gross proceeds from the sale of 5.25% convertible senior notes due 2014.
