RGC News Regal Entertainment Group Announces Proposed Secondary Offering of 7,728,328 Shares of Class A Common Stock
KNOXVILLE, Tenn.--(BUSINESS WIRE)--Regal Entertainment Group (NYSE:RGC), a leading motion picture exhibitor
owning and operating the largest theatre circuit in the United States,
today announced that it has filed a registration statement on Form S-3
with the Securities and Exchange Commission for a proposed secondary
offering of 7,728,328 shares of its Class A common stock. An additional
500,000 shares may be sold if the underwriters exercise in full their
option to purchase additional shares.
The shares are being offered by OCM Principal Opportunities Fund II LP
("OCM"), and were originally acquired by OCM in connection with the
original exchange transaction in April 2002 forming Regal Entertainment
Group. The registration statement is being filed at OCM’s
request pursuant to registration rights contained in a stockholders
agreement, which Regal entered into with OCM at the time of the exchange
transaction.
Credit Suisse Securities (USA) LLC is the sole underwriter for the
proposed offering.
