ADVANCED VIRAL RESEARCH ENTERS INTO FINANCING AGREEMENT
Advanced Viral Research Corp. (OTC Bulletin Board: ADVR) a
bio-pharmaceutical company, announced today the Company entered into a
financing agreement on December 31, 2006 with Cornell Capital Partners
providing for Cornell to purchase for gross proceeds of $1.5 million,
three year 9% secured convertible debentures in the aggregate principal
amount of $1.5 million, and five year warrants to acquire 48,076,923
shares of Advanced Viral common stock at a per share purchase price of
$.0312. At any time while the debentures are outstanding, Cornell may
convert the principal amount of the debentures plus accrued interest
into Advanced Viral common stock at a conversion price equal to the
lesser of $0.0312 or 95% of the lowest volume weighted average price of
the Company’s common stock during the thirty
consecutive trading days immediately preceding the applicable conversion
date. $1,000,000 of the debentures and the warrants were sold on January
5, 2007 and the remaining $500,000 of the debentures is obligated to be
sold on the date a registration statement covering the resale of the
shares underlying the debentures and warrants is filed with the
Securities and Exchange Commission. Additionally, the financing
agreement provides, that, at the Company’s
option, Cornell will purchase up to an additional $750,000.00 principal
amount of debentures and additional warrants on similar terms that have
been mutually agreed upon and subject to the satisfaction of certain
conditions, including Advanced Viral’s
enrollment of the first patient in its planned dermatological study and
the effectiveness of the registration statement.

used to sponsor clinical programs in cancer as well as in certain
dermatological conditions, such as wound healing, where activity has
been previously documented in animal models,”
