SkyLynx To Acquire Leading Communications Technology Through Acquisition of Assets of StarCom Wireless SARASOTA, Fla. SkyLynx Communications, Inc. Gary Brown, 941-388-2882 or CEOcast, Inc., for SkyLynx Communications Ed Lewis, 212-732-4300 Meteor Burst Technology to Significantly Enhance Company's Ability to Offer Nationwide Communications System SkyLynx Communications, Inc. ("SkyLynx") (OTCBB: SKYC), a network provider of secured mobile data communications, provided additional details today on its proposed acquisition of StarCom Wireless, Inc., and its affiliates. The Company recently entered into a non-binding letter of intent to purchase certain assets of StarCom. SkyLynx believes that the Meteor Burst technology of StarCom will give it a significant advantage in enhancing its state-of-the-art communications system. The technology utilizes billions of micro-meteors, which can be as small as a grain of sand as the objects enter the earth's atmosphere. Traveling at speeds of 10 to 30 kilometers per second, they puncture the earth's atmosphere, leaving an ionized trail behind them as they disintegrate. These trails then reflect radio signals from one point on the earth's surface to another. "By acquiring this technology and other assets of StarCom, SkyLynx dramatically improves its ability to deliver a nationwide communications system," said Gary Brown, Gary Brown the Chief Executive Officer of SkyLynx. "This technology dramatically accelerates the Company's development, and enables us to be a major national provider of advanced Automated Vehicle Location Services several years ahead of schedule." Meteor Burst technology creates a communication system which relies on a Meteor Burst base station to transmit a coded signal, where it reflects off the trail of meteors entering the earth's atmosphere. As there are billions of these micrometeors entering the atmosphere over an extremely short period of time, nearly constant reflections occur providing for a communication path between the base station and a remote unit located at a distance of typically 200 to nearly 2000 km from the base station. The communications path exist for up to several seconds, which is enough time for the remote unit to decode the signal and communicate digital messages and data to and from the base station at modest data rates. Eventually the trail diffuses until the trail's electron density is insufficient to support further communication. By that time another trail presents itself for utilization. The footprint of the reflected signal is relatively small and travels across the earth's surface over time. SkyLynx expects to acquire the rights to and to deploy the technology to streamline over-the-air protocols, as well as specialized hardware designed for this unique communications media by hardware and software engineers with many years of experience designing Meteor Burst equipment, software, and systems. While Extended Line of Sight ("ELOS") base stations provide for a very high percentage of the system's geographical coverage, various applications that require full-time coverage can be provided by a combined ELOS and Meteor Burst system. In certain sensitive and geographically unreachable areas that may not allow for the commercial installation of an ELOS base station, the Meteor Burst technology provides coverage without the need of geographic proximity. In addition, the Meteor Burst sites provide "blanket" nationwide coverage for redundancy purposes. Further, SkyLynx has proposed to purchase an affiliate of StarCom's interests in Owner State Wireless, L.L.C. of Alaska. This partnership was created for the purposes of owning and developing Special Mobilized Frequencies to create a wireless telephone network in Alaska. The value of this proposed transaction is yet to be determined. The contemplated transaction between the parties includes an assumption of certain debt and the issuance of SkyLynx common stock. The transaction will require the approval the shareholders of AllCom and the board of directors of SkyLynx. Should the transaction be approved, it is anticipated the closing would take place during the first quarter 2005. About SkyLynx SkyLynx Communications, Inc. is a provider of data wireless services for vehicle tracking and data communications for mobile and static applications. Their wireless network is being deployed on a national basis and has been well received for its ability to provide broad geographic coverage cost effectively. The company's network has the ability to track vehicles and is not affected by topography, buildings, trees or other hindrances to line-of-sight tracking; it has a range many times greater than that of cellular and G-3 systems; and it costs significantly less than satellite tracking.
