SSBX News Silver State Bancorp Announces a Special Stockholders Meeting on Sept. 20, 2006
HENDERSON, Nev.--(BUSINESS WIRE)--July 28, 2006--Silver State Bancorp (OTCBB: SSBX), the parent holding company for Silver State Bank, announced today that a special meeting of stockholders has been scheduled for 10 a.m. local time on Sept. 20, 2006, at 400 North Green Valley Parkway, Henderson, Nev.
The sole purpose of the special meeting is to allow Silver State stockholders to consider and vote upon adoption of the 2006 Omnibus Equity Plan. In contrast to Silver State's previous stock-based compensation plans, which provided solely for stock option awards, the 2006 Omnibus Equity Plan would permit awards of stock options and stock appreciation rights as well as restricted stock and performance share awards. The 2006 Omnibus Equity Plan would authorize the issuance of 579,610 shares of Silver State common stock, representing the total number of shares remaining available for stock option grants under Silver State's 1997 Stock Option Plan, 1998 Stock Option Plan, and 2004 Stock Option Plan. If stockholders approve the 2006 Omnibus Equity Plan, no additional awards under the 1997, 1998, and 2004 plans would be made.
The proxy statement for the special meeting will be mailed on or about Aug. 14, 2006, to Silver State stockholders of record as of Aug. 10, 2006.
