ST. LOUIS--(BUSINESS WIRE)--July 17, 2006--Thermadyne Holdings Corporation (Pink Sheets:THMD):
The Company announced today that Ernst & Young, LLP will resign as the Company's independent registered public accountants. The resignation will be effective as of the date the Company files its annual report on Form 10-K for the twelve months ended December 31, 2005.
It is the Company's understanding that there have been no disagreements (as described under Item 304(a)(1)(iv) of Regulation S-K) between Ernst & Young and the Company on any matter of accounting principles or practices, financial statement disclosure or auditing scope and procedures.
The Company will file a Current Report on Form 8-K with further information within the time prescribed by the SEC.
