Appointment of Principal Officers; Compensatory Arrangements of
Certain Officers.
On October 9, 2008, Bernard H. Cherry informed the registrant that he is
resigning as chairman of the board of directors and as a director effective
immediately. On the same date, Mr. Cherry also resigned as chairman of the board
and as a director of the registrant's subsidiary, NPS Liquidating, Inc., the
successor in interest to Northern Power Systems, Inc. Mr. Cherry remains chief
executive officer of the registrant.
